CPCA - Company secretarial support services

Panel Services: \r The provisions of company secretarial support services to the following CPCA companies: \r • Angle Holdings Limited;\r • Angle Developments (East) Limited;\r • Peterborough HE Property Company Limited\r • Cambridgeshire and Peterborough Business Growth Company Limited; and\r • Peterborough R&D Property Company Limited\r The services will include:\r 1) Attendance at a total of [37] board at an allowance of 2 hours per meeting as follows;\r a) Angle Holdings Limited - 4 meetings;\r b) Angle Developments (East) Limited - 4 meetings;\r c) Peterborough HE Property Company Limited - [12] meetings;\r d) Cambridgeshire and Peterborough Business Growth Company Limited - 8 meetings ; and\r e) Peterborough R&D Property Company Limited - [12] meetings.\r 2) Attendance at a total of 5 annual general meetings (1 per company) at an allowance of 2 hours per meeting:\r 3) Preparation and follow up activities for each meeting at an allowance of one hour per meeting to include;\r a) Preparation of agenda items and minutes of meeting;\r b) Statutory filings & monitoring of filings;\r c) Updating of statutory registers;\r d) Provision of registered office address.\r 4) Review work at an allowance of 5 hours per company. To include:\r a) Review of articles of association against authority constitution;\r b) Review and monitoring of shareholder agreements;\r c) Review of Companies House filings history and statutory registers;\r d) Review of group structure chart;\r 5) Provision of a total of 2 directors training sessions per year to cover:\r a) role, responsibilities and duties;\r b) assessment of strategic risks;\r c) managing conflict of interests.
